Terms of SERVICE

Agent Grad School (“Agent Grad School,” “us,” “our,” or “we”) created these Terms of Service (the “Terms”) for you to understand the rules that apply when you use the website located at www.agentgradschool.com, visit our social media channels, listen to our podcast, and purchase and participate in programs offered by us (individually and together, the “Services”). By using the Services, you agree to the following:

1. You Agree to the Terms. You acknowledge that by using the Services you accept these Terms, our Privacy Policy, and our Earnings Disclosure (both incorporated into these Terms by reference). For students of Agent Grad School, the Student Contract is also incorporated into these Terms by reference. If you don’t agree with the Terms, then you may not use the Services. We reserve the right in our sole discretion to change, modify, add, or delete portions of the Terms, the Privacy Policy, and the Earnings Disclosure at any time. If you want to be notified about changes to these Terms and we don’t already have your email on file, please email jennifer@agentgradschool.com and we will add you to our notification list. If you continue to use the Services after we make changes, you agree to the changes.

2. Eligibility. The Services may not be used by anyone under the age of 18 without the supervision of a parent or legal guardian who agrees to be bound by these Terms. You represent and warrant that you are at least 18 years of age (or the age of legal minority under applicable law), or if not, that you have reviewed these Terms with your parent or legal guardian and that person agrees to be bound by these Terms.

3. License and Restrictions. We grant you a limited license to use the Services for your personal use only. You may not use the Services in any way that interferes with our ownership rights in the Services, and we may terminate your access to the Services if you are in breach of these Terms. The following activities may also result in termination of your access to the Services:
a. Commercially exploiting the Services, meaning you cannot use, sell, lease, or participate in any other activity that serves to generate income from the Services;
b. Making a copy of the Services or any portion of the Services, except as allowed under these Terms;
c. Using any data mining tools or automation tools such as spiders, scrapers, crawlers, scripts, bots, or any other automated or manual method or process to access, retrieve, index, or reproduce the Services or its contents;
d. Reverse engineering, decompiling, disassembling, translating, preparing derivative works based on, or otherwise modifying the Services, in whole or in part;
e. Removing, obscuring, or modifying any copyright, trademark, or other proprietary rights notices, marks or labels contained on or within the Services, falsifying or deleting any author attributions, legal notices, or other labels of the origin or source of the material;
f. Misrepresenting the source of ownership of the Services; and
g. Conducting any other activity that might be considered illegal or tortious. This includes, without limitation, “hacking” the Services, infringing the intellectual property or other rights of third parties, modifying, altering, translating, reverse engineering, decompiling or disassembling the Services or related documentation.

4. Ownership. All of the content displayed through the Services is owned by Agent Grad School, its licensors, vendors, agents, and/or its Third Party Providers (defined below). All elements of the Services may be protected by trade dress, copyright, moral rights, trademark, and other laws relating to intellectual property rights. The Services contents, elements, and related protections collectively are the “Content.” The Services, its Content, and all related rights will remain the exclusive property of Agent Grad School or its licensors.

5. Content and Materials.  

a. Agent Grad School Materials. We retain all right, title, and interest in and to the Services and all related patent, copyright, trademark, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right (“Rights”).
b. User Content. If you provide us with feedback regarding any aspect of the Services, we will own all rights in and to such feedback and any derivative products or services developed from the feedback.
c. Third Party Content. The Services may include third-party content and links to websites or content owned or operated by third parties (“Third Party Content”). We do not own or control any Third Party Content and make no representation or warranties of any kind regarding the Third Party Content. If you use any of these third-party products or services, you assume all risks and liabilities. We may also link to other websites. We have no control over these external websites and will not be liable for any content, advertising, products, or other materials on or available from those external websites. Third parties should have their own terms of service and privacy policies, so be sure to check those out.
d. Content for Educational and Informational Purposes Only. Agent Grad School is not a get rich program. Our Services are intended to provide information and education to help you in achieving your goals by providing great content, direction, and strategies to share your services with a wider audience, provide value to your clients, and grow your business. For important information regarding expectations of the potential earnings you may achieve through the use of Agent Grad School’s Services, please review the Earnings Disclosure. As mentioned above, the Earnings Disclosure is incorporated into these Terms by reference, and you must agree to the Terms (which agreement includes the Earnings Disclosure) in order to access and use the Services. 

6. Digital Millennium Copyright Act Notice and Policy.
a. If you believe that any content available through the Services infringes upon any copyright you own or control, please notify us at jennifer@agentgradschool.com (“DMCA Claim”). A copy of your DMCA Claim will be sent to the person who posted or stored the material addressed in the DMCA Claim. Please be advised that pursuant to federal law you may be held liable for damages if you make material misrepresentations in a DMCA Claim. Thus, if you are not sure that material located on or linked to by the Services infringes your copyright, you should consider first contacting an attorney. All DMCA Claims should meet the requirements of DMCA 17 U.S.C. § 512(c)(3) and include the following information:
i. a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
ii. identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works through the Services are covered by the DMCA Claim, a representative list of such works through the Services; 
iii. identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
iv. information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an email address at which the complaining party may be contacted;
v. a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
vi. a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed upon.

b. Counter Notification. If you believe your own copyrighted material has been removed from the Services as a result of a mistake or misidentification, you may submit a written counter notification to us using the contact information provided below (“Counter Notification”). To be an effective Counter Notification under the DMCA, it must include substantially the following: 
i. identification of the material that was removed or disabled and the location where the material appeared before it was removed or disabled; 
ii. a statement that you consent to the jurisdiction of the Federal District Court in which your address is located, or if your address is outside the United States, for any judicial district in which we are located; 
iii. a statement that you will accept service of process from the party that filed the DMCA Claim or the party’s agent; (iv) your name, address, and telephone number; 
iv. a statement under penalty of perjury that you have a good faith belief that the material in question was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and 
v. your physical or electronic signature. If you send us a valid, written Counter Notification meeting the requirements described above, we will restore your removed or disabled material, unless we first receive notice from the party filing the DMCA Claim informing us that such party has filed a court action to restrain you from engaging in infringing activity related to the material in question. Please note that if you materially misrepresent that the disabled or removed content was removed by mistake or misidentification, you may be liable for damages, including costs and attorney’s fees. Filing a false Counter Notification constitutes perjury. Any personal information you provide in your notice will be used only for purposes related to your notice.

7. Creating an Account. Portions of the Services allow you to create an account with us (“Account”). To create an Account, you will need to provide us with your email address, first and last name, password, and any other information requested through the Services. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur through your Account. You will notify us immediately of any unauthorized use of your Account or any other breach of security. If Agent Grad School believes that any unauthorized access may occur or has occurred, we may terminate access without prior notice to you. We will not be liable for any loss that you may incur as a result of someone else using your password or Account, either with or without your knowledge. However, you could be held liable for losses incurred by us or another party due to someone else using your Account or password. You may not use anyone else's Account at any time.

8. Online Content.
a. The Services may include opportunities, through your Account to chat or participate in blogs, message boards, online forums, discussion platforms, and other online or digital media platforms that provide you with the opportunity to create, submit, post, display, transmit, perform, publish, or distribute links, writings, photos, graphics, or other material ("Communications"). All Communications posted by you will be your sole responsibility. 
b. Communications will be used only in a non-commercial manner. Agent Grad School has the right, but not the responsibility, to monitor or remove or request removal of Communications that we believe to be harmful, offensive, or otherwise in violation of these Terms, without liability to you. Agent Grad School, in its sole discretion, reserves the right to restrict or disable your use of the Services that it owns and makes available to you.
c. By submitting Communications, you warrant that you will; (i) follow all applicable laws and regulations; and (ii) you have all necessary rights to submit such Communications without any restrictions of any kind. You hereby grant to Agent Grad School a fully paid, royalty-free, non-exclusive, irrevocable, worldwide, unconditional, perpetual, right and license to use, reproduce, modify, publicly display and perform, make derivatives works of, sublicense, and distribute all such Communications in all media now known or later developed, and/or to incorporate such materials in other works in any form, media, or technology now known or later developed.
d. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties through Communications, are those of the respective authors and not of Agent Grad School therefore we are not responsible for the accuracy or reliability of same. Agent Grad School makes no representations or warranties regarding Communications.

9. Online Conduct. You will not post Communications that:
a. Violate a third party's rights or dignity, including any contract, privacy, publicity or intellectual property rights;
b. Are deceptive, untrue, harassing, libelous, defamatory, abusive, tortious, threatening, harmful, obscene, indecent, hateful, bigoted, racist, sexist, or pornographic; 
c. Constitute or encourage a criminal offense;
d. Include personal information about another person without that person's consent; 
e. Impersonate another or falsely state or represent your identity; 
f. Engage in or facilitate the transmission of unsolicited mass mailings, or "spamming;"
g. Contain any solicitation, promotion or advertising for goods or services; 
h. Seeks to collect personal data about others for unlawful, commercial, or any other unauthorized purposes; and
i. Contain a virus, worm, spyware, time bombs, corrupted data or other computer programs that may damage, or otherwise interfere with the Services.

You understand that you may be exposed to Communications and actions from other users that are indecent, explicit, offensive, or which otherwise violates these Terms (“Inappropriate Activity”). You can report actual or suspected Inappropriate Activity to Jennifer@agentgradschool.com. Agent Grad School will not be liable or responsible for any Inappropriate Activity through the Services. Agent Grad School reserves the right, in its sole discretion, to take any action against Inappropriate Activity that it believes to be harmful, offensive, or otherwise violates these Terms. You agree that Agent Grad School will not be liable to you or any third-party in any way for Communications, Inappropriate Activity, or for any damage or loss from the same.

10. Purchases through the Services. The Services may provide you the opportunity to purchase our products and services directly (“AGS Products”). You may need to provide certain personal information to our third party payment providers (“Payment Providers”) so your purchase of AGS Products can be fulfilled. Payment information provided to Payment Providers is not retained by us. Please see the Privacy Policy for more information. We have the right to limit the sales of AGS Products to any person or geographic location. All descriptions of AGS Products and pricing are subject to change at any time without notice. We also reserve the right to discontinue any AGS Products at any time. We reserve the right to refuse any order you place with us. If we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors. You agree to provide current, complete, and accurate purchase and Account information for all purchases made through the Services.

a. AGS Products Refund Policy. We hope you love your AGS Products and that you always have a great experience. However, due to the custom nature of AGS Products, we do not offer any refunds or exchanges on digital goods. If you experience any issues in accessing your order, please reach out within thirty (30) days of your purchase to jennifer@agentgradschool.com. 

11. Third Party Products and Services. Our Services may include products and services from people or companies that are separate from us (“Third Party Providers”). Examples of Third Party Providers include, without limitation, (a) Payment Providers; (b) products and services we link to on other websites (e.g. a book, podcast, or software tool); or (c) Affiliate partnerships (defined below). Even though we may link you to Third Party Providers, we have no control over their products or services or the platforms they are offered on. Therefore, we are not responsible for any content, advertising, products, or other materials from Third Party Providers. Please note Third Party Providers may have their own terms of use and privacy policies which you must comply with.

12. Agent Grad School Students. 
a. Before you enroll as a student with Agent Grad School, you are provided with the opportunity to participate in an introductory class that provides you with important information regarding the Agent Grad School Program (“Program”). Upon enrollment, you will be asked whether you have read and agree to these Terms, which incorporate the Privacy Policy, Earnings Disclaimer, and the Student Contract, all of which are available to you for your review prior to your purchase of the Program. Please make sure that you review these documents carefully and understand them before you purchase the Program, as the Program is non-refundable. If you have questions regarding any of the Terms, please contact us at jennifer@agentgradschool.com. Following enrollment, you will be sent a copy of the Student Contract for your signature. You must sign the contract and return it to gain access to the Program. b. No Refunds. Because you have access to Program Materials immediately, Agent Grad School does not provide refunds of any kind for any reason. If you have a payment dispute, you will work in good faith to resolve the matter with AGS and you will not dispute any charges made by us for the Program Fee (defined below), whether paid if full or in monthly installments.

c. Payment Plans. Agent Grad School offers payment plans as a convenience to you. Upon enrollment you agree to pay Agent Grad School in full, including all applicable taxes and fees (“Program Fee”). If you chose a payment plan through our Third Party Providers, you agree to their payment plan terms. If you select the Agent Grad School payment plan, you will be charged for the first payment at the time of enrollment and subsequent payments will automatically be charged on the same day of the month until paid in full. It is your responsibility to ensure that your payment information remains up to date. You must contact Agent Grad School immediately if your credit card is lost or stolen, or you become aware of a potential breach of your student account. You authorize Agent Grad School to obtain or determine updated or replacement expiration dates for your credit card in the event the card you provided to us expires and we may charge any renewal card issued to you to the same extent as the expired card. If you miss a payment for any reason, your account status will be considered “delinquent” and your access to the Program will be revoked. If your account is delinquent for more than sixty (60) days, Agent Grad School may report the balance due to a credit reporting bureau and/or collections agency, at Agent Grad School’s sole discretion. You will pay for all costs of collection, including attorney’s fees and costs for any outstanding balances. 

13. Affiliate Partnerships. For complete transparency, Agent Grad School acts as an affiliate for certain Third Party Providers offered through our Services, which means when you sign up or buy a product from the Third Party Provider through the Services, Agent Grad School receives referral commissions (“Affiliate”). 
a. As a policy, Agent Grad School will only affiliate with products, services, coaches, consultants, and other experts that we believe will provide value to you. We will inform you when one of the links constitutes an affiliate link.
b. It is your personal responsibility to investigate whether any Affiliate offers are right for you or your business, and you will not rely on any recommendation, reference, or information provided by Agent Grad School.
c. You may see testimonials through the Services from other users of the Affiliate services. We do not pay for these testimonials, and we believe that the testimonials reflect the user’s own opinions and experiences regarding the Affiliate.

14. Stay Connected. In order to access and use the Services, you need to have and maintain adequate internet connection. You are fully responsible for obtaining and maintaining internet access.

15. How We Use Your Personal Information. For information on how we use your personal information while you use the Services, please check out our Privacy Policy.

16. Modifying/Terminating Services. We reserve the right to modify, update, or discontinue our Services, any features, or portions thereof, without prior notice. You agree that we can suspend or terminate your right to access our Services at any time for any reason without notice, obligation, or liability to you.

17. DISCLAIMER OF WARRANTIES. 
a. YOU AGREE THAT YOUR ACCESS TO AND USE OF THE SERVICES ARE AT YOUR SOLE RISK.
b. EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN THESE TERMS OF USE, AGENT GRAD SCHOOL PROVIDES THE SERVICES, AND ANY CONTENT PUBLISHED THEREIN, ON AN “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTY OF ANY KIND AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENT GRAD SCHOOL PROVIDES, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUPPLIERS, AGENTS, CO-BRANDERS, AND OTHER PARTNERS DISCLAIM ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, QUALITY, TITLE, NONINFRINGEMENT, ACCURACY OF DATA OR CONTENT, DATA OR CONTENT SECURITY, AND ADEQUACY FOR ANY PARTICULAR USE, FUNCTIONALITY OR PRODUCTIVENESS, REGARDING THE SERVICES, ITS CONTENT, OR ANY THIRD PARTY WEBSITES (AND THEIR RESPECTIVE CONTENT) LINKED TO THE SERVICES. NOTHING IN THESE TERMS OF USE WILL IMPLY THAT ANY COMMUNICATIONS PROVIDED TO OR THROUGH THE SERVICES OR THIRD PARTY WEBSITES (THROUGH LINKS PROVIDED THROUGH THE SERVICES) WILL BE ACCURATE OR SECURE, THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ERRORS WILL BE CORRECTED AT A CERTAIN TIME. YOU HEREBY ASSUME THE ENTIRE RISK ASSOCIATED WITH USE OF THE SERVICES, RESULTS OBTAINED, AND PERFORMANCE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU, TO THE EXTENT SUCH JURISDICTION’S LAW IS APPLICABLE TO THESE TERMS OF USE.
c. THE SERVICES MAY CONTAIN TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS OR OMISSIONS. WE ARE NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL, PHOTOGRAPHIC, TECHNICAL, OR PRICING ERRORS LISTED FOR OUR SERVICES. WE RESERVE THE RIGHT TO MAKE CHANGES, CORRECTIONS, AND/OR IMPROVEMENTS TO THE SERVICES, AND TO THE PRODUCTS AND PROGRAMS DESCRIBED IN SUCH INFORMATION, AT ANY TIME WITHOUT NOTICE AS DESCRIBED IN SECTION 16.

18. LIMITATION OF LIABILITY.
a. IN NO EVENT WILL AGENT GRAD SCHOOL, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, SUPPLIERS, AGENTS, CO-BRANDERS OR OTHER PARTNERS HAVE ANY LIABILITY TO YOU UNDER THESE TERMS OF USE FROM THE USE (OR ATTEMPTED USE) OF THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENT GRAD SCHOOL, ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM LOSS OR INTERRUPTION OF BUSINESS, LOSS OF PROFITS OR REVENUES, LOSS OF USE, LOSS OF ANTICIPATED BENEFITS, LOSS OF BUSINESS INFORMATION OR DATA, CORRUPTION AND THE LIKE), ERRORS, MISTAKES, OR INACCURACIES IN ANY CONTENT, PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, UNAUTHORIZED ACCESS TO THE SERVICES OR TO PERSONALLY IDENTIFIABLE INFORMATION OR FINANCIAL INFORMATION STORED ON OUR SERVERS, ANY INTERRUPTION OR TERMINATION OF THE SERVICES OR YOUR ACCESS TO THE SERVICES, ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT ARE TRANSMITTED BY OR THROUGH THE SERVICES OR ANY THIRD PARTY WEBSITE LINKED THROUGH THE SERVICES, ARISING OUT OF ANY LEGAL OR EQUITABLE THEORY, INCLUDING, BUT NOT LIMITED TO, BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF AGENT GRAD SCHOOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH POSSIBILITY WAS REASONABLY FORESEEABLE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
b. AGENT GRAD SCHOOL DISCLAIMS ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF ANY INFORMATION OR MATERIAL IN RESPECT OF THE SERVICES OR THE USE THEREOF.
c. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE SO AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY CLAIMS, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA, THAT RESULTS FROM DOWNLOADING OR OTHERWISE OBTAINING SUCH MATERIAL. 
d. YOU ARE ENTIRELY LIABLE FOR ACTIVITIES CONDUCTED BY YOU OR ANYONE ELSE IN CONNECTION WITH YOUR VISITING AND USE OF THE SERVICES AND YOU ACKNOWLEDGE THAT AGENT GRAD SCHOOL WILL NOT BE LIABLE FOR ANY CONTENT ACCESSED OR AVAILABLE THROUGH THE SERVICES, OR COMMUNICATIONS POSTED TO THE SERVICES, FOR ANY REASON WHATSOEVER.
e. IF YOU ARE DISSATISFIED WITH THE SERVICES AND/OR ANY CONTENT PROVIDED THROUGH THE SERVICES, OR WITH THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SERVICES AND CONTENT.
f. The Services are controlled and offered from Agent Grad School’s facilities in the United States. Agent Grad School makes no representation that the Services are appropriate or available in other locations. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly agree that your personal data may be transferred to and processed in the United States.  

19. Indemnity. You will indemnify, defend, and hold Agent Grad School, its partners, affiliates, contractors, officers, directors, employees and agents harmless from and against any and all damages, losses and expenses arising directly or indirectly from your acts or your failure to act when using the Services. You will cooperate as fully and reasonably as required by Agent Grad School in the defense of any claim arising out of your use of the Services. Notwithstanding the foregoing, Agent Grad School reserves the exclusive right to settle, compromise, and pay and all claims, demands, proceedings, suits, actions, or causes of action, which are brought against Agent Grad School arising out of or related to your use of the Services, and in no event will you settle any such claim without Agent Grad School’s prior written approval.

20. Accessibility. We are committed to giving each user the best possible experience through our Services. If you have a concern about your access or ability to access our Services, let us know by filing a notice as described in Section 21 below.

21. Disputes and Claims.
a. Notice of Dispute or Claim. You will not file any legal action against Agent Grad School in any forum without submitting a detailed description of your dispute or claim to Agent Grad School at jennifer@agentgradschool.com ("Claim"). The information you provide to us must include specific information about the Claim such as the nature of the issue, the website page(s) affected by the issue, reference to any legal authority governing the issue, such as citations to state privacy laws, CANSPAM statutes, or similar regulations, and any other information a reasonable person would consider relevant to resolving the issue.
b. Resolution Process. Agent Grad School has ninety (90) days to respond to your email notice. If you send more than one (1) email notice, the 90-day response timeline applies separately to each email notice you send. If your issue is not resolved within ninety (90) days, you have thirty (30) days to request informal mediation about the issue with Agent Grad School. If Agent Grad School agrees to mediation, the mediation will take place in Seattle, Washington with a professional mediator to be mutually selected by the parties. The parties will split the costs of mediation equally.
c. Litigation. If a dispute between you and Agent Grad School cannot be resolved informally or through mediation, litigation may be commenced either in the district court of King County, Washington, for state court cases, or in the United States District Court for the Western District of Washington for federal court cases. Each Party agrees to submit to the exclusive jurisdiction of such courts with respect to any dispute(s) and agrees not to bring any dispute(s) in any other court or adjudicative body. Each Party hereby consents to venue and personal jurisdiction in such courts with respect to such dispute(s) and irrevocably waives any right that it may have to assert that such forum is not convenient or that any such court lacks jurisdiction.
d. Jury and Class Action Waiver. YOU WAIVE THE RIGHT TO A TRIAL BY JURY, TO PARTICIPATE IN A CLASS ACTION, OR TO SEEK REMEDIES BEYOND THE EXTENT NECESSARY TO PROVIDE INDIVIDUALIZED RELIEF. YOU AGREE NOT TO ACT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED OR DE FACTO CLASS OR REPRESENTATIVE PROCEEDING, OR AS A PRIVATE ATTORNEY GENERAL OR ON BEHALF OF THE GENERAL PUBLIC.
e. Time Limitation. Any Claims must be filed within two (2) years after the cause of action arose and you waive any statute of limitations to the contrary. 
f. Governing Law/Attorney’s Fees. These Terms will be governed by the laws of Washington State without giving effect to applicable conflict of law provisions. The substantially prevailing party in any dispute litigation regarding any Claim will be entitled to recover reasonable attorney’s fees and costs, including expert costs.
g. Injunctive Relief. Your breach of these Terms is likely to cause immediate and/or irreparable harm to Agent Grad School. As such, we may seek injunctive relief against you without the need to post bond.

22. General. 
a. Our Relationship. You and Agent Grad School are independent parties and nothing in these Terms creates an employment or agency relationship. 
b. Severability. If any provision of the Terms is held unenforceable for any reason, that provision will be reformed only to the extent necessary to make it enforceable and such decision will not affect the enforceability of such provision under other circumstances. 
c. Assignment. The licenses we grant to you are for you and you alone. You may not transfer or assign these Terms or licenses without our express written consent. 
d. Section Headings. The section headings in the Terms are for reference purposes only and do not in any way affect the meaning or interpretation of the Terms. 
e. Waiver. The failure of either you or us to enforce any right or provision in the Terms will not constitute a waiver of such right or provision. 
f. Entire Agreement. The Terms and the Privacy Policy are the complete and final agreement between us regarding your use of the Services.
